Contest Rules

This Stanley Black & Decker 2016 Build Your America Contest (“Contest”) is sponsored by Stanley Tools, 1000 Stanley Drive, New Britain, CT 06053 (“Sponsor”). This Contest will be comprised of three (3) separate “Entry/Nomination Periods” in which participants may nominate a “charitable organization” (defined below), and three (3) separate “Voting Periods” in which participants may vote on the nominated charitable organizations. The Entry/Nomination Periods and the Voting Periods will be held as follows (all times shown below are in USA Eastern Time (“ET”)):

By participating this Contest, each “participant” (defined as a person who participates by nominating and/or voting) fully and unconditionally accepts and agrees to comply with and abide by these Official Rules and all decisions of Sponsor which shall be final and legally binding. Each participant understands that they are providing their information to Sponsor and not to Facebook® and the information provided will be used in accordance with Sponsor’s Privacy Policy (located at Should there be conflict between Sponsor’s privacy policy and these Official Rules, these Official Rules shall govern. Any personally identifiable information collected during a participant's participation in this Contest will be collected by Sponsor or its designees and used by Sponsor and its designees for purposes of the proper administration, fulfillment, publicizing and promotion of this Contest as described in these Official Rules, as stated in Sponsor’s privacy policy or as otherwise expressly consented to by participant during any separate opt-in opportunity provided to participants. Each participant is limited to one (1) Entry and one (1) charitable organization per Entry/Nomination Period and one/or (1) vote per Voting Period. Participants may vote for the Entry that they entered. Provided there are a sufficient number of meritorious Entries, there will be: a total of three (3) grand prizes awarded (one (1) for each Entry/Nomination Period); a total of three (3) charitable organization Winners declared (one (1) for each Entry/Nomination Period); and not more than one (1) grand prize per Winner. If a charitable organization is declared a Winner (potential or official) by Sponsor, such organization is not eligible to receive any other prize in this Contest. Sponsor makes no representation, guaranty, warranty, covenant or promise of any kind that participants or Winners may or may not be eligible to receive any charitable deductions or other tax benefits in connection with their participation in this Contest or receipt of a prize. Stanley Tools is the sole Sponsor of this Contest. Void where prohibited.

1. ELIGIBILITY OF PARTICIPANT: This Contest is open only to persons who are legal residents of one (1) of the 50 states of USA or Washington, D.C., age 18 (or 19 if a resident of Alabama or Nebraska) or older at the time of participation in this Contest. Employees of Sponsor, Retail Sports Marketing, Inc. (“RSM”), Wishpond Technologies, Ltd. (“Wishpond”), any of their respective affiliates (individually and collectively, “Contest Entities”), and the immediate family members of each (defined as spouse, children, siblings, parents, grandparents, grandchildren and step family) and/or people living in the same household (related or not) are not eligible to participate. Eligibility is subject to all federal, state and local laws and regulations. ELIGIBILITY OF CHARITABLE ORGANIZATION: to be nominated in this Contest, the charitable organization must be a public charity or private foundation that has qualified as tax-exempt under Section 501(c)(3) of the U.S. Internal Revenue Code.

2. HOW TO SUBMIT AN ENTRY AND NOMINATE A CHARITABLE ORGANIZATION: To nominate a charitable organization, participants must take the following steps during an Entry/Nomination Period only: (1) go to (the “designated landing page”); (2) click to acknowledge that you (participant) have read and accept the Official Rules and Terms of Use; (3) complete the online entry/nomination form; (4) describe in 500 characters or less how you (participant) would like to honor your community by nominating a charitable organization to receive the grand prize for use towards completion of a project (“Project”); (5) include a photo image of the charitable organization’s Project and/or identifying logo (maximum size of photo image submitted cannot exceed 3MB; videos are not an acceptable format); and (6) submit the entry/nomination form. All materials in connection with an Entry must be entered at one time and once a participant submits their Entry, it cannot be changed. Sponsor will review each submitted entry/nomination form to confirm it is consistent with the theme of this Contest (as described herein) and qualifies to be included on the voting platform for the respective Voting Period. If any entry/nomination form submitted is determined to be ineligible by Sponsor, for any reason, it will be disqualified and the participant who submitted such entry/nomination form will be notified by Sponsor; disqualification is not subject to appeal. Entries must be consistent with the theme of this Contest, be in English, be original to the participant and consist only of the participant, nominated charitable organization and Project, and comply with these Official Rules. Entries must not include any of the following: (a) non-participating individuals or entities; (b) content or materials that infringe or violate any law; (c) objectionable content or language that is crude, inappropriate or offensive to others; (d) anyone under age 18 (or age 19 if a resident of Alabama or Nebraska); and (e) any content that shows undue risk of harm to any person or property or depicts anything that is unsafe or could be harmful to participant or others. Each eligible and qualifying entry/nomination form submitted pursuant to these Official Rules (defined herein as “Entry”) will be included in the respective Voting Period only. Entries not declared a Winner (potential or official) will not be automatically re-entered/nominated for any other Entry/Nomination Period (or Voting Period); however participants may resubmit an entry/nomination one (1) time during each Entry/Nomination Period and it can be the same charitable organization and Project unless participant has been notified by Sponsor that such entry/nomination, charitable organization and/or Project is disqualified or the charitable organization has been declared a potential or official Winner for a previous Entry/Nomination Period. A participant may nominate a different charitable organization and Project each Entry/Nomination Period; however not more than one (1) charitable organization and Project per entry/nomination form and Entry/Nomination Period. Entry materials (written content, photo images, logos, titles, captions, descriptions and statements) will be published by Sponsor and publicly available on the designated landing page. IF YOU DO NOT WANT YOUR ENTRY MATERIALS USED IN THE MANNER DESCRIBED HEREIN, DO NOT ENTER THIS CONTEST. Sponsor, Facebook and Wishpond are not responsible for any unauthorized use of a participant’s submitted Entry materials. By entering this Contest, each participant agrees to be bound by these Official Rules and represents and warrants that the submitted Entry materials (excluding a charitable organization’s identifying logo) are original, they own all right and title thereto, and do not infringe any third party intellectual property. By submitting an Entry, participants represent and warrant that the above is accurate and true and participants assign to Sponsor the ownership rights to Entry materials original to participants. Entry in this Contest constitutes permission (except where prohibited by law) to use participant’s name, city, state, likeness, image and submitted original Entry materials for purposes of advertising, promotion and publicity in any and all media now or hereafter known, throughout the world in perpetuity, without additional compensation, notification, permission or approval. All Entry materials original to participant become the property of Sponsor and will not be returned and may not be acknowledged. If this Contest is not completed in accordance with these Official Rules, the resulting participant’s Entry will be disqualified. Entries made by any other individual or any entity, including but not limited to commercial sweepstakes subscription notification and/or entering services, will be declared invalid and disqualified for this Contest. Tampering with the entry/nomination process, voting process or operation of this Contest is prohibited and any entries deemed by Sponsor, in its sole and absolute discretion, to have been submitted in this manner will be void. Entries generated by a script, macro, or other automated means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted. Any Entry will be disqualified if it is illegible, forged, falsified, altered or improperly tampered with in any way. Entries may be removed in whole or in part at the request of nominated charitable organization. Multiple participants are not permitted to share the same email address. In case of a dispute over the identity of a participant, the authorized account holder of the email address used to participate will be deemed to be the participant. “Authorized account holder” is defined as the person who is assigned to an email address by an internet access provider, online service provider or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address.

3. VOTING. During each Voting Period, participants may vote for their favorite Entry by clicking the voting button next to each such Entry. Each vote submitted will equal one (1) vote. Voting or the number of votes an Entry receives does not guarantee the Winner; Sponsor has sole and final determination of each Winner in this Contest. Any votes an Entry receives in a Voting Period will not be carried over or applied to any other Voting Period in this Contest. Employees of Contest Entities are not allowed to vote in this Contest. VOTES CAST WILL APPLY ONLY TO THE ONE (1) ENTRY THAT RECEIVED THE VOTE(S); IF THE SAME CHARITABLE ORGANIZATION AND PROJECT ARE NOMINATED IN MORE THAN ONE (1) ENTRY, THEIR VOTES WILL NOT BE COMBINED.

4. NOTIFICATION AND DETERMINATION OF WINNER: After each Voting Period ends, RSM will contact the charitable organization nominated in the Entry which received the most number of votes and the participant who entered/nominated such charitable organization and they will be required to provide RSM with additional documents, information and materials including, but not limited to: (1) letter of intent from the charitable organization by which they agree to the terms and conditions of receiving and utilizing the grand prize for the Project and permit Sponsor to chronicle development of the Project for Sponsor’s advertising and/or publicity purposes worldwide; (2) copy of the charitable organization’s most recently filed IRS Form 990; (3) materials to “pitch the Project” to Sponsor; (4) IRS form W-9 and IRS Letter of Determination or other IRS document evidencing 501(c)(3) status; (5) Affidavit of Eligibility and Liability/Publicity Release; and (6) all other information, documents and/or releases required by Sponsor. All such additional materials must be provided to Sponsor or RSM no later than 5:00 PM ET as follows:

Sponsor will use the voting results and above materials to determine the Entry that is the official “Winner” of each Entry/Nomination Period. If there is a tie among the Entries with the highest number of votes, the Entry that received the highest number of votes the soonest during the Voting Period will be declared the potential Winner, subject to these Official Rules. Odds of winning depend on the number of qualifying Entries entered during each Entry/Nomination Period and the number of votes each Entry receives during the respective Voting Period. Sponsor reserves the right to disqualify any Entry even if it received the highest number of votes if Sponsor determines the Entry does not meet the eligibility and other criteria outlined herein. The Winner (recipient of the grand prize) will be the nominated charitable organization and Project in the Entry, not the person who nominated/entered the Entry. In the event a potential Winner is determined to be ineligible or is otherwise disqualified from this Contest, or if despite reasonable efforts by Sponsor a potential Winner does not respond to Sponsor as required herein, or if notification is returned as unclaimed or undeliverable, such potential Winner will be disqualified and forfeit the grand prize and Sponsor may, but shall not be required to, select an alternate Winner, subject to these Official Rules. Sponsor and RSM shall have no liability for any potential prize winning notification that is lost, intercepted or not received by a potential Winner for any reason. If any potential Winner (charitable organization) and/or participant who entered the Entry does not provide the documents, information and materials as required herein, such Entry will be disqualified and not eligible for a prize. A CHARITABLE ORGANIZATION IS NOT A WINNER OF A PRIZE UNLESS AND UNTIL CHARITABLE ORGANIZATION’S ELIGIBILITY HAS BEEN VERIFIED AND CHARITABLE ORGANIZATION HAS BEEN ADVISED BY RSM OR SPONSOR THAT VERIFICATION IS COMPLETE. Sponsor will announce the Winners on the designated landing page on or about the following dates:

5. GRAND PRIZE: One (1) grand prize will be awarded to the Winner declared for each of three (3) Entry/Nominating Periods. The grand prize will be comprised of a cash award in the amount of $10,000 and Stanley Black & Decker-branded products (having a total approximate retail value of $1,000) that are specific to be utilized in the winning Project. The approximate retail value of each grand prize is $11,000; the total approximate retail value of all prizes to be awarded in this Contest is $33,000. The Stanley Black & Decker-branded products portion of the grand prize, which will not be redeemable for cash or credit, will be mailed to each Winner (via regular ground mail to their physical address in USA, cannot ship to a post office box) six to eight weeks after it has been declared an official Winner by Sponsor. The check portion of the grand prize will be sent to each Winner (at their physical address in USA, cannot send to a post office box) up to 6 months after it has been declared an official Winner by Sponsor. Sponsor reserves the right to substitute the grand prize (or any part) for a prize (or part) of equal or greater value, for any reason. Each Winner will be fully and solely responsible for any and all federal, state and local income and other taxes on the grand prize and all costs, fees and expenses associated with completing the Project and utilizing the grand prize (including but not limited to supplies, labor, equipment, permits, inspection fees, etc.). WINNERS ARE ADVISED TO SEEK INDEPENDENT COUNSEL REGARDING THE TAX IMPLICATIONS OF ACCEPTING A GRAND PRIZE. If required, Sponsor will issue an IRS tax form 1099 in the amount of $11,000 to each Winner. The participant who entered/nominated the Entry selected for the grand prize and participants who voted on such Entry will not receive any prize in this Contest related to such Entry. If a prize is unclaimed, it will not be awarded. All costs, fees and expenses associated with prize receipt and/or use not expressly described in these Official Rules as included in the prize awarded are the sole responsibility of each Winner. Depictions of the prize on any Contest-related materials may not represent the actual prize awarded.

6. PUBLICITY RELEASE: Participation in this Contest constitutes each participant’s permission for Sponsor to use participant’s name, photographs, images, logos, likenesses, voice, audio, video, biographical information, Project, statements, testimonial, personal exposition (and/or any edited portion thereof), address (city and state) and prize information (collectively, "Attributes") for advertising and/or publicity purposes worldwide and in all forms of media now known or hereafter devised, in perpetuity, without further compensation or authorization (except where prohibited by law) and participant releases Sponsor from all claims arising out of the use of such Attributes.

7. GENERAL RELEASES/TERMS & CONDITIONS: BY PARTICIPATING IN THIS CONTEST, EACH PARTICIPANT and CHARITABLE ORGANIZATION AGREES on behalf of themselves and heirs, executors, administrators, successors and assigns: (A) to release and hold harmless Contest Entities, Facebook, Inc., Lowe’s Companies, Inc., each of their respective past and present employees, officers, directors, representatives, agents, licensees, subsidiaries, parent companies, affiliates, shareholders, owners and members and all other individuals or entities involved in the administration, advertisement or promotion of this Contest and/or the award and delivery of prize (individually and collectively, “Released Parties”) from any liability, illness, injury, death, loss, litigation or damage that may occur, directly or indirectly, whether caused by negligence or not, from such participant’s participating in this Contest and/or charitable organization’s claim, possession, use or misuse of the prize (or any part); and (B) to be bound by these Official Rules and to waive any right to claim any ambiguity or error therein or in this Contest itself, and to be bound by all decisions of Sponsor which are binding and final in all respects. Released Parties are not responsible for, and each participant and charitable organization hereby releases the Released Parties from, any claims arising from: (i) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (ii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iii) unauthorized human intervention in any part of the entry or voting process or this Contest; (iv) electronic or human error which may occur in the administration of this Contest, processing of entries and/or votes; (v) any injury or damage to persons or property, including but not limited to participant’s or charitable organization’s computer, hardware or software, which may be caused, directly or indirectly, in whole or in part, from participant’s or charitable organization’s participation in this Contest; and/or (vi) use or misuse of the prize (or any part). Any attempt by a participant, charitable organization or other individual to deliberately undermine the legitimate operation of this Contest, including the voting mechanism or Wishpond platform, may be a violation of criminal and civil laws, and should such an attempt be made, Sponsor reserves the right to seek damages and other remedies to the fullest extent permitted by law. Failure to comply with these conditions will result in disqualification from this Contest at Sponsor’s sole and absolute discretion. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. Sponsor is not responsible for any electronic or typographical error in the printing, advertisement or reproduction of these Official Rules or in any Contest-related materials, including in print or online, administration of this Contest or in the depiction or announcement of the prize (or any part).

8. DISQUALIFICATION/FORCE MAJEURE: Sponsor reserves the right to modify, extend, suspend, or terminate this Contest if it determines, in its sole discretion, that this Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond the control of Contest Entities and/or Facebook, Inc. that have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of this Contest as contemplated herein. In the event an insufficient number of eligible entries or votes received and/or Sponsor is prevented from awarding any prize or continuing with this Contest as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health or other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state or local government law, order, or regulation, public health crisis (e.g. SARS), order of any court or jurisdiction, or other cause not reasonably within the control of Contest Entities and/or Facebook Inc. (each a “Force Majeure” event or occurrence), then Sponsor shall have the right to modify, suspend or terminate this Contest. If this Contest is terminated before the designated end date, Sponsor will (if possible) select Winner based on criteria set forth in these Official Rules from all eligible, non-suspect Entries received as of the date of the event giving rise to the termination, which shall be each participant’s sole and exclusive remedy under such circumstances.

9. DISPUTES: Except where prohibited, each participant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate federal or state court of Connecticut; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Contest, but in no event attorneys' or legal fees; and (3) unless otherwise prohibited, under no circumstances will participant be permitted to obtain awards for, and participant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the participant and Sponsor in connection with this Contest shall be governed by, and construed in accordance with, the laws of the State of Connecticut without giving effect to any choice of law or conflict of law rules (whether of State of Connecticut or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Connecticut.

10. RELEASE OF CLAIMS (CALIFORNIA): Each participant acknowledges that there is a possibility that, subsequent to their involvement with this Contest and adherence to these Official Rules they may discover facts or incur or suffer claims which were unknown or unsuspected at the time agreeing to these Official Rules, and which if known by them at that time may have materially affected their decision to enter this Contest. Such participants acknowledge and agree that by reason of these Official Rules, and the release contained in the preceding subsections, they are assuming any risk of such unknown facts and such unknown and unsuspected claims. Such participants acknowledge that they have read these Official Rules and, as such, hereby have been advised of the existence of Section 1542 of the California Civil Code, which provides: “A general release does not extend to claims that the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor.”

11.
